Terms of Use

These Terms of Use ("Terms") govern your use of the dvup mobile application, website, and related services operated by Nolstar Studio ("dvup", "we", "us", or "our"). By downloading, accessing, or using dvup, you agree to these Terms. If you do not agree, do not use dvup.
1. Eligibility
You must be at least 13 years old to use dvup. If you are under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf and accepts responsibility for your use of dvup, including any paid plans.
2. Accounts and Security
- You must provide accurate information and keep it reasonably up to date.
- You are responsible for activity that occurs through your account.
- You must keep your login method and device access secure.
- Notify us promptly at support@dvup.ca if you believe your account has been compromised.
3. What dvup Does
dvup is a collaborative expense-splitting and bookkeeping tool. Among other things, dvup lets users create groups, record expenses, split costs, track settlements, scan receipts, attach local receipt photos, and optionally use travel-mode and paid-plan features.
dvup is not a bank, wallet, escrow agent, money transmitter, lender, accounting firm, or tax adviser. We do not process or hold money between users. Any actual payment between group members happens outside dvup using whatever method those users choose.
4. Free Features, Ads, and Paid Plans
4.1 Free use
We may offer a free version of dvup. Free use may include feature limits, free scans, ad-supported experiences, or ad-earned credits that can change over time.
4.2 Paid plans
We may offer personal, duo, group, family, annual, monthly, weekly, or trial plans. Current product names, pricing, billing periods, trial availability, renewal terms, covered seats, and local currency are shown to you in the applicable purchase flow before you buy.
- Paid plans are billed through the Apple App Store or Google Play unless we clearly state otherwise.
- Recurring plans renew automatically unless you cancel them through the applicable store in time to stop renewal.
- Store billing, refunds, renewals, and cancellation timing are governed by the applicable store's rules and your purchase screen.
- Shared plans may require inviting covered users by email and may limit how many people receive coverage.
California residents: Subscriptions automatically renew at the price and frequency shown at purchase until canceled. For annual subscriptions, we will send a renewal reminder to the email address associated with your account between 15 and 45 days before each renewal, including the renewal date, the amount that will be charged, the fact that the amount may change if pricing has been updated, and instructions for cancellation. You may cancel at any time through your Apple App Store or Google Play account settings, effective at the end of the current billing period. 4.3 Ads
The free tier may display ads or offer rewarded ads. If you use the free tier, ad delivery, measurement, and consent handling may involve third-party advertising services as described in our Privacy Policy. You can manage certain ad privacy choices in dvup under Settings > Privacy choices, plus any controls offered by your device or platform.
5. Collaborative and User-Provided Content
You keep ownership of content you create or upload to dvup, such as group names, expense notes, and receipt photos. You grant us a limited, non-exclusive license to host, store, reproduce, process, and display that content only as needed to operate, secure, and improve the service.
You are responsible for content you submit and for ensuring you have the rights and permissions needed to submit it, including when you upload a receipt, add someone to a group, invite a family-plan member by email, or add a payment link.
6. Acceptable Use
You agree not to:
- Use dvup for unlawful, fraudulent, abusive, or deceptive activity.
- Attempt to bypass limits, abuse scan credits, scrape the service, or gain unauthorized access to accounts, systems, or data.
- Upload malware, spam, illegal content, or content that violates another person's rights.
- Impersonate another person or misrepresent your affiliation or authority.
- Use bots or automation to access dvup in ways we have not authorized.
- Reverse engineer, decompile, or disassemble dvup except where applicable law clearly permits it.
- Use receipt scanning on images you do not have the right to process, or on non-receipt content in an attempt to misuse the feature.
7. AI, Currency, and Accuracy Disclaimers
Some dvup features rely on OCR, AI extraction, exchange-rate data, or user-entered information. Those features can be wrong. You are responsible for reviewing receipt results, amounts, currencies, splits, and payment details before relying on them.
- Receipt scanning may misread totals, tax, tip, merchant details, dates, or line items.
- Currency detection and exchange rates may be delayed, unavailable, or inaccurate.
- Shared balances may be affected by edits made by you or other group members.
8. Permissions and Device Features
dvup may request permissions such as camera, photos, push notifications, or location. You can deny or revoke these permissions, but some features may stop working or work with reduced functionality.
9. Intellectual Property
The dvup name, logo, look and feel, software, and related content are owned by Nolstar Studio or its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, we reserve all rights.
10. Third-Party Services and App Stores
dvup relies on third-party services for authentication, payments, analytics, advertising, AI features, and infrastructure. The current list of service providers is described in our Privacy Policy, and your use of dvup is also subject to those providers' own terms and policies. We are not responsible for third-party services we do not control.
If you sign in using Sign in with Apple or Google Sign-In, your use of those features is also subject to Apple's and Google's applicable terms. If you downloaded dvup from an app store, the store's terms also apply to your use of dvup.
10.1 Payment Service Deeplinks and Recipient Handles
dvup may offer convenience links ("deeplinks") to third-party payment services — currently Venmo, Cash App, PayPal, Interac e-Transfer, and Zelle — to help group members send each other money outside dvup. Your use of these deeplinks is subject to the relevant service's own terms.
Venmo, Cash App, PayPal, Interac, and Zelle are trademarks of their respective owners. dvup is not affiliated with, endorsed by, sponsored by, or operated in partnership with any of these companies. We display their brand names solely to help you identify the payment services we support.
You are solely responsible for: (a) keeping any payment handle you save in dvup accurate, current, and under your control; (b) verifying the recipient, amount, currency, and any prefilled note in the third-party app before authorizing any payment; and (c) ensuring the third-party service is available in your jurisdiction (for example, Interac e-Transfer is only available between Canadian financial institutions; Zelle is only available between US financial institutions).
YOU ACKNOWLEDGE AND AGREE THAT NOLSTAR STUDIO IS NOT LIABLE FOR ANY MISDIRECTED, MISTAKEN, FAILED, REVERSED, OR FRAUDULENT PAYMENTS YOU OR ANY GROUP MEMBER MAKES THROUGH A THIRD-PARTY PAYMENT SERVICE IN CONNECTION WITH DVUP, INCLUDING WITHOUT LIMITATION WHEN:
- a payment is sent to a wrong, fraudulent, or outdated recipient because of a handle saved in dvup that is incorrect, no longer in use, or controlled by a different person than originally intended;
- a payment is sent in the wrong amount, currency, or denomination, including as a result of currency conversion, decimal placement, or display rendering;
- a payment fails, is reversed, charged back, frozen, held, or refunded by the third-party service;
- a payment is sent to a recipient whose identity is impersonated, spoofed, or otherwise misrepresented within dvup or the third-party service;
- a third-party deeplink launches with prefilled details that differ from what you intended, or with no prefilled details at all;
- a third-party service is unavailable, geographically restricted, modifies its API, removes deeplink support, or otherwise prevents your payment from completing.
Once you authorize a payment in a third-party app (or any equivalent action such as confirming an e-Transfer in your bank app), the transaction is between you, the recipient, and the third-party service — not with dvup. Any dispute about whether a payment occurred, the amount sent, or the recipient's identity must be resolved between you, the recipient, and the third-party service.
dvup does not verify that any payment has actually occurred. When you or another group member marks a settlement as "paid" in dvup — including via the "I sent it from my bank" confirmation for Interac e-Transfer or Zelle — the mark reflects only the user's assertion. dvup records the assertion in the group's history; it does not confirm the transfer happened, the amount matched, or the recipient received the funds. You are responsible for resolving any discrepancy between dvup's recorded settlement and the actual transaction.
To the fullest extent permitted by applicable law, dvup's total liability for any claim arising out of or related to a payment made through, prompted by, recorded in, or otherwise connected to dvup is limited to the greater of (i) the total amount you paid Nolstar Studio for dvup paid features during the 12 months preceding the event giving rise to the claim, or (ii) USD $50. Nothing in this section limits liability that cannot be excluded under mandatory consumer protection laws in your jurisdiction.
11. Privacy
Your use of dvup is also subject to our Privacy Policy, which explains how we collect, use, and share information.
12. Suspension and Termination
- You may stop using dvup at any time.
- You may export your data or delete your account using the tools we provide in the app, subject to technical and legal limits described in the Privacy Policy.
- We may suspend, limit, or terminate access if we believe you violated these Terms, abused the service, created security risk, or exposed us or other users to harm.
- After termination, provisions that reasonably should survive will survive, including ownership, payment obligations, disclaimers, limitations of liability, and dispute terms.
13. Changes to dvup
We may add, change, pause, or remove features, plans, or limits at any time. We may also impose or adjust usage caps, safety controls, or anti-abuse protections.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DVUP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- We do not guarantee dvup will always be available, uninterrupted, timely, secure, or error-free.
- We do not guarantee the accuracy of scans, balances, reminders, exchange rates, or shared data entered by users.
- We are not responsible for disputes between group members, missed payments, or reliance on incorrect user-entered information.
15. Limitation of Liability
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or death or personal injury caused by negligence.
Subject to the paragraph above, to the maximum extent permitted by applicable law:
- Nolstar Studio will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to dvup or these Terms.
- Our total aggregate liability for all claims arising out of or relating to dvup or these Terms will not exceed the greater of (a) the amount you paid us for dvup in the 12 months before the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you. In those jurisdictions, our liability is limited to the smallest amount permitted by law.
16. Arbitration and Class Action Waiver (U.S. Users)
If you are a resident of the United States, you and dvup agree that any dispute arising out of or relating to these Terms or dvup will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court, except that you may bring qualifying claims in small-claims court. You and dvup waive any right to a jury trial and any right to participate in a class action, collective action, or representative proceeding. If a court finds the class-action waiver unenforceable as to any claim, that claim is severed from arbitration and proceeds in the courts of British Columbia; the rest of this section remains in effect.
You may opt out of this arbitration agreement by emailing support@dvup.ca within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out." Opting out does not affect any other part of these Terms. This section does not apply where prohibited by mandatory consumer protection laws in your jurisdiction (including, where applicable, Quebec, the EU, and the UK).
17. Limited Indemnity for User Content
You agree to indemnify Nolstar Studio from third-party claims arising out of (a) content you upload or submit that infringes a third party's intellectual property or privacy rights, or (b) your fraudulent or willful misconduct. This section does not apply to the extent prohibited by mandatory consumer protection laws in your jurisdiction.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may notify you in the app, by email, or by updating the date at the top of this page. By continuing to use dvup after the updated Terms take effect, you agree to the updated Terms.
19. Governing Law
These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. If you are a consumer, any mandatory rights you have under the law of your home jurisdiction remain unaffected.
20. Severability and Waiver
If any part of these Terms is found unenforceable, the remaining parts will remain in effect. Our failure to enforce a provision is not a waiver of that provision.
21. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented in the relevant purchase or feature flow, form the agreement between you and Nolstar Studio about dvup.
